Terms of Service

1. About these terms
These terms govern the services provided by Jayant Padhi, registered at Shankar Bhandar, Keonjhar, Odisha 758001, India ("we", "us"). By engaging our services, paying an invoice or submitting an enquiry form, you ("client") accept these terms. They are governed by the laws of India, with exclusive jurisdiction in the courts of Odisha.
2. Services
We provide performance marketing services, including Google Ads and Meta Ads strategy, campaign setup, creative direction, conversion tracking and reporting. The exact scope, deliverables, term and fees for your engagement are set out in the proposal or invoice agreed between us, which forms part of these terms.
3. Fees and payment
Service fees are invoiced in advance of each service period unless agreed otherwise. Media spend paid to Google, Meta or any other advertising platform is separate from our service fees and is either billed directly to your ad account or reimbursed to us at cost. Invoices are payable within 7 days. Applicable Indian taxes are charged in addition to the stated fees.
4. Client responsibilities
You are responsible for providing timely access to ad accounts, websites, analytics and brand assets, for the accuracy of any material you supply, and for handling leads generated by campaigns. You confirm you hold the rights to all content you provide and that your offering complies with applicable law and platform advertising policies.
5. No guarantee of results
Advertising performance depends on factors outside our control, including platform auctions, market conditions, your pricing and your sales process. We do not guarantee any specific number of leads, sales, revenue or return on ad spend. Results shown on this website are historical outcomes for specific clients and are not a promise of comparable results.
6. Cancellation
Engagements begin with an initial term of 90 days. Either party may end the engagement after the initial term by giving written notice by email to mail@jayantpadhi.com. Cancellation takes effect at the end of the current paid service period; campaigns are paused and account access is returned to you at that point. 7. Refunds
Service fees for work already performed are non-refundable. Any unused media spend held by us on your behalf is returned to your original payment method within 5 to 7 business days of cancellation. If you believe you were charged in error, contact us within 7 days of the invoice date and we will review and refund any incorrect charge. 8. Confidentiality and data
Each party will keep the other's non-public business information confidential. Our handling of personal data is described in our Privacy Policy.
9. Intellectual property
On full payment, you own the campaign assets, ad copy and creative produced specifically for you. We retain ownership of our underlying frameworks, templates, tracking systems and know-how, and may reference the engagement and anonymised performance data in our portfolio unless you ask us in writing not to.
10. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of the services is limited to the service fees you paid us in the three months preceding the claim. We are not liable for indirect or consequential losses, including lost profits, lost data or lost business opportunity.
11. Changes to these terms
We may update these terms from time to time. The version published on this page at the time you engage us applies to your engagement. Material changes will be communicated by email.
